1.Purpose
Thepurpose of these Terms and Conditions is to define the generalframework governing the provision, use, and management of theprofessional services provided by the K. A. Pandit.
2.Scope of Services
Thescope, deliverables, timelines, and fees for services will bemutually agreed upon between the K. A. Pandit and the Client prior tothe commencement of work by an engagement letter or email. Anyservices requested beyond the agreed scope may be subject toadditional fees and revised timelines.
3.Client Responsibilities
TheClient agrees to provide accurate, complete, and timely informationrequired for the performance of the Services. K. A. Pandit shall beentitled to rely on such information without independent verificationunless otherwise agreed.
4.Fees and Payment
Unlessotherwise agreed in writing, invoices are payable within thirty (30)days from the invoice date. The Client shall bear any applicable bankcharges or remittance costs. Work requested outside the agreed scope,including post-delivery revisions or clarifications, may be billedseparately.
5.Expenses and Taxes
Anyapplicable taxes, duties, or statutory levies shall be payable by theClient in addition to the agreed professional fees. Where servicesrequire specific travel outside the K. A. Pandit’s principal placeof business, K. A. Pandit reserves the right to provide supportingdocumentation for reasonable travel and related expenses to bereimbursed by the Client.
6.Confidentiality & Data Privacy
Bothparties agree to protect and keep confidential all proprietaryinformation, technical data, and business secrets disclosed duringthe Engagement. K. A. Pandit shall use Client data solely to performServices, excluding any information that is public, known prior todisclosure, or received legally from a third party. The Client shallnot disclose K. A. Pandit’s proprietary methodologies or systems.Both parties will comply with applicable data privacy laws. K. A.Pandit shall retain Client data as required by Indian law( e.g.Income tax Act, 1961).
7.Intellectual Property
Allintellectual property rights in methodologies, tools, templates, andframeworks used in providing the Services remain the property of theK. A. Pandit. Upon full payment of fees, the Client may use thedeliverables for its internal business purposes only.
8.Limitation of Liability
K.A. Pandit shall not be liable for any loss arising from inaccurate,incomplete or misrepresented information provided by the Client orthird parties. To the maximum extent permitted by law, K. A. Pandit’sliability shall be limited to the professional fees paid for thespecific Services giving rise to the claim.Furthermore,K. A. Pandit’s liability is limited to the specific proportion ofthe loss caused by its own negligence or breach of contract.
9.Force Majeure
Neitherparty shall be liable for delays or failure in performance caused bycircumstances beyond its reasonable control, including naturaldisasters, government actions, or infrastructure disruptions.
10.Termination
Eitherparty may terminate the engagement by providing thirty (30) days’written notice. Fees for services performed up to the terminationdate shall remain
payable.
11.Governing Law and Dispute Resolution
TheseTerms and Conditions shall be governed by and construed in accordancewith the laws of India. Any disputes, claims, or differences arisingout of or in connection with these Terms shall first be resolvedthrough good-faith negotiations between the parties. If the disputeremains unresolved, it shall be referred to arbitration in accordancewith the provisions of the Arbitration and Conciliation Act, 1996, asamended from time to time. The arbitration proceedings shall beconducted in English and will be held in Mumbai, India, and thedecision of the arbitrator shall be final and binding on the parties.
